IMPORTANT — PLEASE READ BEFORE SELECTING “I AGREE”. These Terms are a legally binding agreement governing your use of Ayornish. Ayornish is primarily a technology platform connecting you with independent medical, veterinary, wellness and other service providers. It is not itself your treating practitioner merely because you find or book a provider through Ayornish. Healthcare treatment and professional opinions are provided by the relevant independent practitioner, not by Ayornish, unless a service is expressly identified as being provided directly by Ayornish. No medical result, prescription, diagnosis, cure, appointment acceptance, availability or suitability for your particular condition is guaranteed. Ayornish is not for emergencies. Your rights under applicable law cannot be waived merely by accepting these Terms.
1. Formation, acceptance and incorporation of terms
1.1By actively selecting “I have read and agree to the Terms & Conditions” and continuing to create an account, sign in where reconfirmation is requested, or complete a transaction, you confirm that you have read these Terms, understand their principal conditions, and agree to be legally bound by them. If you do not agree, do not register or use the relevant services. We may maintain electronic records of the version accepted, time, account identifier and reasonable authentication information as evidence of acceptance.
1.2These Terms apply to visitors, registered patients and customers, parents/guardians acting for dependants, pet owners and users of available Ayornish public tools (collectively, “Users” or “you”). Medical practitioners, veterinary practitioners, educators, organisation owners, organisation staff and sellers may also need to accept separate professional/commercial terms before acting in those capacities. This End-User Agreement is not a substitute for their separate contracts.
1.3The Privacy Notice, Medical Disclaimer and any payment, cancellation or service conditions actually presented to you before the relevant transaction form part of the applicable user-facing framework. Consent to the Terms does not amount to blanket consent for optional marketing, recording consultations, sharing full medical records, or any unrelated personal-data use that legally requires separate permission.
1.4Booking-level terms displayed and accepted at checkout apply to that booking, including the provider, service mode, price and applicable cancellation conditions. They will prevail over inconsistent general descriptions for that specific transaction, but not over mandatory legal rights. Features described as “if available”, “where offered” or “when enabled” apply only if they have actually been launched and made available to you.
2. What Ayornish does — and does not do
2.1Ayornish provides a digital interface for provider discovery, profile display, appointment requests, booking and payment facilitation, communications, permitted document access, relevant health/wellness tools and other features expressly made available on the Platform. Ayornish may act as a facilitator or marketplace for services supplied by independent professionals, clinics, hospitals, veterinary facilities, pharmacies, diagnostic centres, educational providers, gemstone sellers and similar third parties (“Service Providers”).
2.2Unless expressly identified as the direct supplier of a specific service, Ayornish does not independently diagnose, examine, prescribe, treat, operate a clinic or laboratory, dispense medicine, deliver veterinary treatment or guarantee the performance of any Service Provider. Your decision to select a Service Provider is your own. A professional relationship relating to consultation or treatment is ordinarily between you (or the patient or pet you lawfully represent) and the Service Provider.
2.3Profiles, verification indicators, badges, search order, suggestions, featured positions, reviews and availability information are discovery aids, not promises that a provider is appropriate for a particular case, will accept an appointment, will achieve a result, is free of past complaints, or will remain continuously available. Any accuracy or verification claim expressly made by Ayornish is subject to its meaning and applicable law; nothing here authorises a misleading claim.
2.4We do not supervise or replace the independent clinical judgment of a treating practitioner. The practitioner is responsible for their professional advice, treatment decisions, prescribing, referrals, medical records and compliance with applicable professional rules. Third-party sellers and establishments are independently responsible for their own goods, facilities and services. This allocation does not exclude liability that the law places on Ayornish for its own conduct.
3. Who may use the Platform
3.1An individual opening an account in their own capacity represents that they are at least 18 years old, legally competent to enter into a contract under Indian law, and entitled to use the Platform. If a minor requires care, a parent or lawful guardian must act for that minor as permitted by law, subject to age-verification, parental consent and clinical-consent requirements as applicable.
3.2If you access services for another adult, child, dependent or pet, you represent that you have lawful authority to act and to provide the relevant information. You must not impersonate another person or access confidential records without permission. You may be required to establish your authority before accessing a record or making a booking.
3.3You agree to use the Platform only for lawful purposes and only in India or other locations where a service is lawfully offered. Professional advice or prescriptions may be restricted by jurisdiction or medical system; accessing the website from elsewhere does not make a service lawful or available there.
4. Information supplied by you and account security
4.1You undertake to give truthful, current and complete registration, contact, patient/pet and booking information, and to correct material errors promptly. You must not provide someone else's number, identity documents, medical reports, prescriptions or payment instruments without lawful authorisation.
4.2You are responsible for keeping your device, password, OTP and access credentials confidential; for promptly notifying Ayornish if you suspect misuse; and for refraining from sharing credentials with unrelated persons. You must not disclose OTPs, CVVs or passwords to anyone claiming to represent Ayornish. Liability for a genuinely unauthorised transaction will be determined under law and the facts, not automatically transferred to you by this clause.
4.3You are responsible for instructions, communications, bookings, document uploads and purchases you knowingly authorise through your account, and for damage caused by your own fraud, impersonation or unlawful use. You may not create deceptive duplicate accounts, circumvent platform protections or use another person's identity to secure an appointment or promotion.
5. Your medical-history and care-related acknowledgements
5.1You acknowledge that safe clinical judgment depends on information available to the professional. You agree to share, to the best of your knowledge, material symptoms, existing conditions, past treatments, relevant medicine use, allergies, pregnancy status where relevant, test reports and other information reasonably requested for your care. You must not knowingly submit forged reports or conceal material information in a way likely to endanger care.
5.2All diagnosis, treatment, medicine selection, medicine dosage, interpretation of tests, follow-up recommendations, clinical certificates and clinical outcomes are matters for the relevant independent practitioner. You understand that different practitioners may reasonably offer differing professional opinions; no particular conclusion, prescription, procedure, certificate or result is assured merely because you have paid for a consultation.
5.3You remain responsible for deciding whether to seek another clinical opinion or urgent in-person assessment when symptoms worsen or advice is unclear. You must not treat a profile description, wellness article, health-tool result or an automated response as an individual prescription. Nothing in these Terms reduces a practitioner's own professional duty of care.
5.4To the maximum extent permitted by law, Ayornish is not liable merely because an independent practitioner provides advice with which you disagree, declines to prescribe, requests tests or an in-person visit, or because treatment does not achieve a desired result, where Ayornish has not independently caused a legally actionable failure.
6. Emergency warning
6.1Ayornish is not an emergency response, ambulance dispatch or emergency-monitoring service. Do not rely on booking, messaging, an AI assistant, or a scheduled video consultation for life-threatening symptoms, severe breathing difficulty, chest pain, stroke signs, serious bleeding, suicidal crisis, obstetric emergencies, poisoning or other time-sensitive situations. Contact local emergency services or attend the nearest appropriate hospital immediately.
6.2Veterinary emergencies similarly require prompt attendance at an appropriate emergency veterinary facility. Failure to act promptly on an emergency because you waited for a platform response may worsen harm. This notice does not remove any mandatory duty owed by an actual treating professional.
7. Teleconsultations and in-person appointments
7.1If you select a video consultation, you acknowledge its inherent limitations: physical examination, procedures, measurements and investigations may not be possible; audio, video or document quality may be insufficient; and the practitioner may advise a physical examination or an alternative form of care. The selected medical professional independently decides whether online assessment or a prescription is clinically and legally appropriate.
7.2By expressly starting or requesting a teleconsultation, you request that consultation using the chosen mode and acknowledge its limitations. Where the applicable professional rules require explicit telemedicine consent, a separate consent request may be presented. Other procedure-specific or clinical informed consent remains a matter for the practitioner and is not replaced by these Terms.
7.3Video consultations may use Google Meet or another disclosed external video tool. You are responsible for obtaining a functional device, a reasonably suitable internet connection, appropriate permissions, a private environment where practical, and joining at the appointment time using the correct account/link. The terms and outages of a third-party communication provider may affect connectivity.
7.4In-person consultations are rendered at the address and by the provider or establishment displayed for the relevant booking. Travel time, transport, parking and expenses are ordinarily your own responsibility unless otherwise expressly agreed. A booking does not automatically include tests, medicines, procedures, admission, travel costs or any additional items not expressly included in the paid offer.
7.5You must not secretly record, stream, publish or distribute clinical consultation audio/video, prescriptions or images of another person without lawful authority and all necessary consents. You must not interfere with the provider's consultation or harass anyone participating in it.
8. Search results, providers, appointment slots and booking confirmation
8.1Provider profiles, open slots and fee information may be created or updated by independent Service Providers and may change. Selecting a displayed time or making a payment request does not guarantee a booked consultation until the Platform communicates a confirmed booking or other clearly stated acceptance status.
8.2Where an instant consultation feature is offered, provider response and acceptance are subject to availability and the conditions shown in that flow. Sending an instant request or attempting a call does not guarantee that a practitioner will answer. If an appointment is not accepted or a service is not supplied, the applicable displayed cancellation/refund rules and mandatory law govern the outcome; a request cannot be treated as successfully provided merely because a payment was initiated.
8.3The Service Provider may reasonably reject or terminate a consultation when identity cannot be established, sufficient clinical information is unavailable, the case requires urgent or in-person care, abuse occurs or the service is legally inappropriate. Any fee consequences are subject to the disclosed policy and applicable law.
8.4Appointment times may be affected by emergencies, clinical delays, local facility constraints, network issues or force majeure. Ayornish does not guarantee a particular consultation duration, uninterrupted connection, provider response time or treatment outcome unless that particular benefit is expressly sold as a contractual entitlement.
9. Prices, payment authorisation and invoices
9.1Before authorising payment, you must review the service/provider identified, selected mode, date and time, final amount payable, applicable taxes, and any customer-facing platform, convenience or processing fee expressly shown at checkout. You agree to pay the amount you knowingly authorise, using a payment method you are permitted to use.
9.2The Platform may use a third-party payment gateway, bank, UPI provider or card network to process transactions. Ayornish does not guarantee the availability of a payment rail or bank authorisation. A debit appearing in your bank account without a confirmed booking must be investigated through the relevant payment and support channels; it does not by itself prove that the underlying appointment was delivered.
9.3Your payment obligation is limited to the total transaction price displayed to you for authorisation, together with any other charge you separately and lawfully authorise. Commercial arrangements between Ayornish and Service Providers do not, by themselves, authorise any additional debit from your payment method. The final customer-facing price remains subject to applicable law.
9.4You authorise Ayornish and its authorised payment partners to process a transaction and necessary reversals, adjustments or refunds in accordance with the price and payment instructions shown to you, these Terms, the applicable policy and law. You shall not intentionally submit fraudulent transaction disputes or chargeback claims, but retain the right to raise genuine disputes with banks, regulators or competent forums.
10. Cancellation, rescheduling, no-show and non-acceptance
10.1Cancellation and rescheduling eligibility depends on the specific booking rules shown before payment. You agree that where a provider reserves a time slot, a reasonable and lawfully applied late-cancellation/no-show charge can apply if clearly displayed to you as part of the booking conditions and permitted by applicable consumer law.
10.2For scheduled consultation bookings to which the currently displayed Ayornish standard rule applies: a cancellation requested at least 60 minutes before the scheduled start is eligible for return of the eligible prepaid consultation value in the form specified in the applicable refund policy and legally required refund options. A cancellation requested less than 60 minutes before the scheduled start may attract a ₹50 late-cancellation deduction if that charge was disclosed at checkout, is lawfully applicable and the reason is not an eligible exception. The amount and destination of the balance will be shown in the cancellation/refund interface as applicable.
10.3Where the same standard no-show rule is expressly displayed: a verified user no-show may result in a deduction of ₹50, to the extent lawful. A booking must not be treated as a user no-show solely because of provider absence, failed booking confirmation, or a documented platform/connection problem requiring investigation. If a different amount or rule is clearly presented for a different service, the applicable transaction-specific rule governs, subject to law.
10.4An independent provider's inability to accept an instant request, unavailability or cancellation does not entitle the User to an automatic clinical substitute or a particular doctor. Financial treatment will be as specified in the applicable transaction policy and law. Ayornish may investigate disputes and prevent fraudulent or repeated use of bookings, credits and promotional benefits.
10.5You acknowledge that refund eligibility can differ between a completed consultation, an unaccepted request, a valid late cancellation, a provider cancellation, a patient no-show and a proven technical failure. No cancellation deduction overrides applicable statutory protections, including restrictions on unfair or one-sided cancellation charges.
11. Refunds, account credits and “Ayornish Wallet”
11.1Where the Platform offers an Ayornish Wallet, refund credit or account credit, the displayed balance reflects only the type of credit and rights expressly stated in the applicable payment/refund conditions. It is not represented as a bank deposit, interest-bearing account, cash entitlement or unrestricted external-payment instrument merely because the interface calls it a “wallet”. Its operation is subject to applicable Indian payment regulation and the specific lawful product structure.
11.2You agree to the refund destination or credit option actually presented and selected in the relevant transaction or cancellation flow, where selection is lawful and genuinely optional. Credits may be restricted to eligible purchases and may be subject to clearly disclosed conditions consistent with law. A general acceptance of these Terms does not authorise Ayornish to compel wallet-only refunds where an original-source refund or other remedy is legally required.
11.3Refund timing depends on the approved payment/refund route and the relevant bank, card network or processor. An estimate shown in the refund journey is indicative unless expressly guaranteed for that transaction. Ayornish may reasonably verify identity, duplicate transactions, suspicious claims or conflicting payment records, without depriving you of mandatory remedies.
11.4You must not misuse, sell, duplicate, transfer or unlawfully redeem a wallet credit, refund or promotional balance. Ayornish may correct a demonstrable duplicate credit or accounting error, subject to lawful notice, evidence and review. If money has been taken but no valid service or entitlement arose, mandatory remedies remain available.
12. Discounts, coupons and promotional offers
12.1A voucher, coupon or promotional benefit is valid only for the period, eligible users, providers, services and conditions clearly communicated with that offer. Unless expressly permitted, it may not be sold, combined with other offers, transferred or redeemed repeatedly. A fraudulent or technically duplicated benefit may be declined or reversed to the extent lawful.
12.2Any automatic renewal or recurring subscription, if ever separately offered, requires its own conspicuous terms and authorisation. Accepting these general Terms does not authorise recurring deductions or an undisclosed subscription.
13. Health records, prescriptions and file uploads
13.1When you upload records or supply health information, you represent that the information belongs to you or a person/pet you may lawfully represent, is not knowingly false, and does not infringe third-party confidentiality or intellectual-property rights. Uploads may be used to perform the specific service you request and made accessible to authorised treating professionals or persons as lawfully explained in the Privacy Notice and relevant consent prompts.
13.2Ayornish's display, storage, formatting, QR encoding, transmission or forwarding of a prescription does not mean Ayornish issued, medically approved or independently verified its clinical content. The issuing professional is responsible for its legality, appropriateness and medical instructions. A pharmacy or laboratory independently determines whether it can lawfully fulfil an order or request.
13.3You should keep copies of clinically important prescriptions, reports and health records. The availability of a particular record on the Platform is subject to applicable retention, access and technical rules; a marketplace account should not be your sole emergency medical record repository.
13.4You may request permitted access, correction or withdrawal of optional sharing authorisations through available channels subject to legal retention, professional recordkeeping and privacy obligations. Withdrawing future optional permission does not automatically undo disclosures already lawfully made or a practitioner’s legally required record retention.
14. Privacy, consent and sharing with other persons
14.1Personal information, payment references and health information are handled according to the applicable Privacy Notice and law. Information reasonably necessary for account creation, a requested consultation, booking, transaction verification, security and legal compliance may be processed on an appropriate lawful basis. These Terms are not a substitute for an intelligible privacy notice or required personal-data consent.
14.2You do not grant blanket access to your full medical records to all Ayornish professionals, pharmacy partners, employers, insurers, advertisers or organisations simply by accepting these Terms. Optional specialist referral, cross-provider clinical transfer, pharmacy/diagnostic forwarding, publicly displaying records, marketing or similar disclosure will be governed by the applicable lawful basis and separate authorisation/consent where required.
14.3If you deliberately instruct the Platform to transmit a selected prescription, file or referral to an identified recipient, you confirm that you have authority to request that sharing and understand the stated purpose and recipient. Separate authorisation or confirmation may be required for particular records and recipients.
14.4You agree not to access another patient's record, take screenshots of confidential records without authority, disclose another person's OTP or interfere with privacy controls. Unlawful access or publication may lead to access restrictions and legal action. Your statutory data-protection rights remain unaffected by these Terms.
15. Automated assistance, trackers and general information
15.1“Ask Ayornish”, health articles, search suggestions, BMI and baby-growth tools, Prakriti/Vikriti assessments, educational summaries and other automated or self-report tools may contain mistakes, omissions, limitations or unsuitable recommendations. Unless an appropriately authorised treating professional expressly provides a particular clinical service, such materials are general information or navigation support, not a diagnosis, prescription, medical device certification or replacement for qualified care.
15.2You agree not to start, stop or change medicines, delay emergency treatment or substitute automated guidance for a practitioner solely on the basis of a tool's output. Use of such tools is voluntary and should be interpreted with appropriate professional advice where a health decision is involved.
16. Veterinary and pet-related services
16.1Pet-owner information must correctly identify the animal for whom services are requested. You are responsible for providing relevant species, medical history, vaccination, treatment and behavioural information known to you, and for safely presenting the animal for treatment when required.
16.2A veterinarian, veterinary hospital, pet hostel, pet shop or other pet-service provider independently supplies its professional or commercial service. Ayornish does not guarantee a veterinary outcome, animal handling standard, boarding experience or product result merely by listing the provider. In an animal emergency, contact a suitable veterinary emergency facility rather than relying on platform messaging.
17. Medical astrology, traditional wellness and gemstones
17.1Medical astrology, birth-chart interpretations, planetary calculations, gemstones and traditional wellness interpretations are non-clinical or commercial services unless a separately licensed medical professional is explicitly delivering authorised medical care in that capacity. They are not scientific diagnoses or guaranteed predictors of illness, pregnancy, fertility, lifespan, economic benefit, relationships or other outcomes.
17.2A professional astrology or gemstone opinion is subjective or based on the evidence and methodology disclosed by its provider. You accept that there is no promise of any particular personal, medical or financial result. Do not cease or alter a prescribed treatment because of astrology or gemstone guidance.
17.3Gem authenticity, grading, certification, stone treatment, supply, delivery, return and warranty obligations belong to the seller, laboratory or reviewer offering the relevant commercial service, except insofar as Ayornish is expressly the direct seller or itself legally responsible. Photographs and remote reviews may not establish authenticity conclusively.
18. Clinics, hospitals, laboratories, pharmacies and third-party purchases
18.1Listings or links to hospitals, clinics, laboratories, pharmacies, medical stores, diagnostic services, pet facilities or other third parties are discovery facilities. Unless Ayornish expressly sells the relevant goods or services as principal, the identified provider/seller bears responsibility for performing the service, holding licences, issuing valid reports or invoices, lawful medicine dispensing, accurate product descriptions, fulfilment, safety and returns.
18.2Tests, investigations, procedures, medicines, delivery and facility charges are not included in a professional consultation fee unless the checkout specifically says so. A recommendation, redirection or hyperlink is not an assurance of product stock, legal suitability, insurance coverage or therapeutic effect.
18.3Third-party sites, payment tools and videoconferencing services may have their own user terms. Ayornish cannot control their independent availability, practices or acts, subject to Ayornish's own non-excludable duties in connection with its representations, selection, security and transactions.
19. Learning, events and downloadable content (only if offered)
19.1Courses, workshops, masterclasses, live sessions and downloaded notes, where sold, are for learning and do not independently confer a clinical licence, certification, accreditation, medical advice, guaranteed exam outcome or professional competency. The educator is responsible for their independently authored teaching and representations.
19.2You may use purchased learning materials only within the access duration, participant limits and permitted personal-use rights disclosed before purchase. You may not share paywalled access, record or rebroadcast a class without authority, redistribute copyrighted material or solicit confidential patient disclosures in learning forums.
19.3Any cancellation, replay, rescheduling, course-duration or refund entitlement arises only from the offer terms shown for that product and applicable law, not from an assumption that all events are available forever.
20. Reviews, messages and User Content
20.1You are responsible for text, images, reviews, messages, ratings, questions and other content you submit (“User Content”). You represent that you have the necessary rights to submit it and that it is honest, lawful and does not contain fabricated experiences, defamation, harassment, threats, unlawful advertisements, personal medical records of others, hate speech, pornography, spam or infringement of intellectual property.
20.2You grant Ayornish a non-exclusive, royalty-free, limited right to host, format, display and technically process User Content for operating the function in which you submitted it, subject to your privacy rights, permitted deletion and applicable law. This is not an unrestricted authorisation to use a private consultation, your identifiable medical history or a patient testimonial in public advertising without appropriate separate permission.
20.3Reviews reflect the opinions of their authors, not Ayornish's clinical evaluation. We may restrict or remove content reasonably believed to breach law, these Terms or patient privacy, and cooperate with lawful investigations. No review feature entitles a user to insult, extort or threaten providers or other users.
21. Prohibited conduct
21.1You must not: (a) impersonate a patient, doctor, veterinarian, pharmacist, educator or seller; (b) submit forged medical documents or false reviews; (c) scrape private data or access another account; (d) bypass authentication or security controls; (e) distribute malware or attempt to damage the Platform; (f) use the Platform to market or supply illegal, unlicensed or prohibited goods or advice; (g) harass or unlawfully record other users; (h) misuse payment instruments, coupons or refunds; or (i) use the Platform in violation of applicable law.
21.2You agree not to engage in conduct that materially disrupts consultations, patient safety, legitimate platform operations or other Users' ability to access services. We may preserve reasonably necessary evidence of suspected fraud, abuse or illegal activity and disclose it to competent authorities only where lawfully permitted or required.
22. Technical risks and service availability
22.1Websites, networks, OTP delivery, emails, payment rails and third-party video services can experience downtime, delayed messages, interrupted connections, unavailable inventory or errors. You acknowledge that uninterrupted, error-free or permanently available access is not assured unless a specific contractual guarantee is separately and expressly offered.
22.2To the extent permitted by law, Ayornish is not liable for loss attributable solely to your device, internet service, power supply, incompatible browser, wrong contact details or failure to attend an agreed appointment, or to genuinely independent third-party failures beyond Ayornish's control. This does not deprive you of remedies where Ayornish's own legally actionable failure caused the loss or where payment was taken for a service not supplied.
22.3Platform access may be temporarily restricted for security, maintenance, integrity or lawful regulatory reasons. Ayornish may change or withdraw general features prospectively, but these Terms do not cancel vested paid entitlements or non-waivable remedies by mere announcement.
23. No warranty of professional outcome; specific disclaimers
23.1TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Ayornish does not give a medical, veterinary, pharmaceutical, diagnostic, astrological, gemological or other professional warranty regarding advice or services independently supplied by a Service Provider. A listing, badge, payment facility, appointment, profile, search result or referral does not create such a warranty.
23.2No practitioner, representative, article, software tool, advertisement or Platform communication can guarantee cure, childbirth, conception, recovery, a prescription, medicine availability, accurate prediction, gemstone effect, educational success or any other outcome simply through use of Ayornish. Any express guarantee actually made by the identified seller or provider is governed by its terms and mandatory law.
23.3General website content and non-clinical tools are provided for their indicated informational purpose, without guarantees of uninterrupted availability, completeness or suitability for individual treatment decisions, to the extent lawful. Nothing here disclaims a representation that Ayornish itself made and for which it is legally answerable.
24. Limitation and allocation of liability
24.1To the maximum extent permitted by applicable law, Ayornish is not liable solely for an independent Service Provider's professional negligence, diagnosis, treatment, prescription, counselling, lab result, dispensing, delivery or other independent service, where Ayornish has not independently caused, contributed to, assumed or become legally responsible for the complained-of act. The relevant provider remains answerable under its contract, professional duties and law.
24.2To the extent law permits, Ayornish will not be liable for remote or consequential losses, loss of anticipated profits, speculative opportunity, goodwill or incidental damage arising from ordinary Platform disruption or third-party services where such loss was not directly caused by Ayornish's legally actionable conduct. No limitation deprives a User of an applicable statutory consumer remedy.
24.3For a claim arising solely from a paid Platform-facilitation service supplied by Ayornish itself (and not the independent medical service), any contractual limitation of direct damages will, only where valid and enforceable under applicable law, be limited to the platform charges actually paid by that User for the affected transaction. This limitation does not apply to amounts that must be refunded or restored by law; Ayornish's fraud or wilful misconduct; data protection obligations that cannot lawfully be capped; personal injury or death caused by its actionable conduct; or any other liability that cannot lawfully be excluded or restricted. A consumer forum or court may decline to enforce an unfair limitation.
24.4No term requires you to waive your rights to a genuine refund, compensation available under mandatory law, a complaint to a regulator or consumer commission, or a claim for a breach directly attributable to Ayornish where law recognises such a claim.
25. User indemnity for misuse and unlawful acts
25.1To the extent permitted by law, you agree to indemnify and hold harmless the Ayornish operating entity and its lawful directors, personnel and representatives against reasonable, documented third-party claims, losses, judgments and costs directly arising from your fraud, intentional misconduct, unlawful disclosure of another person's confidential information, infringement of third-party intellectual property, impersonation, materially false representations, or serious breach of these Terms.
25.2This indemnity does not require you to reimburse Ayornish for its own negligence, illegal conduct, deficient service, breaches of data-protection duties or other matters for which it is responsible. It does not penalise honest complaints, lawful refunds, good-faith chargebacks or the exercise of consumer or privacy rights. The indemnity operates only where there is a legally supportable causal connection to your conduct.
26. Suspension, restriction and closure
26.1Ayornish may suspend or restrict access to an account or feature where reasonably necessary to address suspected identity fraud, repeated payment abuse, security compromise, unlawful content, patient safety risk, serious threats, or breach of these Terms, subject to applicable procedural fairness and law.
26.2You may seek closure of your account through the available process, subject to settlement of lawful transactions, ongoing clinical/financial record obligations, fraud investigation and retention required by law. Closure does not cancel rights or obligations that accrued before closure or the protections designed to survive it.
27. Intellectual property and limited platform licence
27.1Ayornish's name, branding, website design, software, databases, layouts and original materials are protected by intellectual-property laws. Subject to your compliance with these Terms, you receive a limited, personal, revocable, non-exclusive, non-transferable right to access features made available to you for their ordinary intended use.
27.2You must not clone the service, resell account access, extract protected databases, copy paid course materials, misuse trademarks or exploit protected content beyond the lawful rights granted to you. Rights in third-party materials remain with their respective owners; lawful exceptions are unaffected.
28. Messages and communications
28.1You authorise operational messages reasonably necessary for the services you request, including OTPs, booking status, access notifications, transactions, provider communications, payment adjustments, security alerts and significant account notices, using the communication channels you provide and as permitted by law.
28.2Marketing, unrelated promotional calls, unrelated data sharing or direct advertising using private medical details is not automatically consented to by accepting these Terms. Where legally required, we will obtain separate choices and honour valid opt-outs.
29. Complaints and disputes
29.1For account, payment, service-facilitation or privacy concerns, you may contact the support or grievance contact published on the Platform. Where a complaint concerns professional treatment or a separately delivered third-party service, the relevant Service Provider may need to address the underlying professional complaint, while Ayornish may assist with platform-related information as appropriate and lawful.
29.2These Terms are governed by the laws of India. Subject to mandatory consumer and other forum rights, the competent courts at Raipur, Chhattisgarh, India will have jurisdiction over contractual disputes to the extent the parties may lawfully agree to that venue. Nothing in these Terms forces you to surrender a right to complain to a consumer commission, a regulator, a professional council, a data-protection authority or any other competent forum.
30. Changes, interpretation and continuing effect
30.1Ayornish expressly reserves the right, at its discretion and from time to time, to amend, update, supplement, replace or withdraw these Terms and any Platform policy for legitimate business, operational, commercial, product, security, technology, legal or regulatory reasons. Updated versions may be published on the Platform with their version number and effective date. This reserved right is subject to applicable law and the specific notice, disclosure or fresh-acceptance requirements described below.
30.2Changes will ordinarily operate prospectively from the effective date stated in the updated version. Where required by law or appropriate because a change materially affects users’ rights, obligations, payment conditions or personal-data choices, Ayornish will provide reasonable notice and/or obtain affirmative acceptance before that change applies. Continued access may constitute acceptance only to the extent legally effective and after adequate notice; it does not replace any express consent required by law.
30.3Ayornish may ask existing Users to review and re-accept a new version before continuing specified functions. If a User does not accept a validly introduced change, Ayornish may restrict access to affected prospective features, subject to applicable law, refund obligations, existing paid entitlements and statutory rights. An updated website page alone does not retroactively rewrite a completed booking or remove an accrued lawful refund entitlement.
30.4Ayornish may separately update its Privacy Policy / Privacy Notice when its lawful information practices, products, partners, technology, security requirements or legal obligations change. That policy will identify its own effective date and revision information. No general reservation of rights in these Terms permits the Platform to process personal data for a new purpose without the notice, lawful basis or separate consent applicable at the time.
30.5If any provision is held invalid or unenforceable, the remaining lawful provisions remain effective to the extent severable. A one-time failure to enforce a term is not a general waiver. Headings are for convenience; “including” is illustrative, not exhaustive. These Terms, together with applicable linked notices and transaction-specific terms, constitute the general end-user framework. No oral statement varies them unless lawfully authorised and incorporated.
31. Final User declarations at acceptance
By actively accepting these Terms, you confirm that:
- You are legally eligible to register, or have lawful authority to act for the person or pet concerned.
- You understand that Ayornish facilitates access to independent professionals and does not itself become your treating practitioner merely because you use this Platform.
- You understand that independent practitioners make their own clinical decisions; no prescription, diagnosis, cure, consultation acceptance or outcome is guaranteed.
- You agree to supply truthful relevant information, attend bookings responsibly and comply with the customer-facing payment and cancellation conditions actually disclosed for your transaction.
- You acknowledge the limitations of teleconsultations and agree not to use the Platform in place of emergency services.
